Welcome to IBCSuccess.com (also referred to as “Intercultural Business Communication Consulting,” “IBCC,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the IBCSuccess.com website, including all content, features, tools, and services offered on or through the site (collectively, the “Site” or “Service”). By accessing or using the Site, you (“you,” “user,” or “visitor”) agree to comply with and be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Site.

These Terms incorporate by reference our Privacy Policy (and any other policies posted on the Site, such as a refund policy or cookie policy). If there is any conflict between these Terms and another policy, the other policy will control for that specific subject matter.

2. Eligibility & Access

2.1 Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Site. By using the Site, you represent and warrant that you meet this requirement and have all necessary rights to enter into this agreement.

2.2 Account Registration
If any portion of the Site requires you to create an account, you agree to provide accurate and complete information, maintain confidentiality over your credentials, and notify us immediately of any unauthorized use or breach of security. You are responsible for all activity taking place under your account.

2.3 Suspension / Termination
We reserve the right, at our discretion, to suspend or terminate your access (with or without notice) if you violate these Terms or for any other reason. Upon termination, your rights under these Terms will cease, but the provisions that by their nature should survive (e.g. intellectual property, disclaimers, limitations of liability) will remain in effect.

3. Permitted Use & Restrictions

3.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, noncommercial use (unless otherwise agreed).

3.2 Prohibited Conduct
You agree not to, and will not permit others to:

  • Upload, post, or transmit any content that is unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable

We reserve the right to remove or refuse any content or user at our discretion.

4. User Contributions & Content

4.1 User Content / Submissions
If you submit content to the Site (comments, testimonials, questions, forum posts, etc.), you grant IBCC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, publish, distribute, and display that content in any media or medium. You represent that you own or control the rights to submit the content and that its use does not violate any rights of others.

4.2 Monitoring & Removal
We are not obligated to monitor user content, but we reserve the right to refuse, remove, or disable access to any content at our discretion (without prior notice).

4.3 No Warranty on User Content
We make no guarantees about the accuracy, reliability, or quality of user-submitted content. You bear all risks associated with your use of such content.

5. Intellectual Property

5.1 Our Rights
All content on the Site (text, graphics, logos, images, audio, video, software, designs, domain names) is owned or licensed by IBCC (or its partners) and protected by copyright, trademark, and other intellectual property laws.

5.2 Restrictions
You may not copy, distribute, reproduce, publicly display, perform, republish, download, store, or transmit content except as expressly permitted under your limited license above or with our prior written permission.

5.3 Feedback
If you provide feedback or suggestions about the Site, you agree that IBCC may use that feedback without obligation or compensation to you, and you hereby grant us the rights to incorporate such feedback.

6. Purchases, Payments & Subscription Services

If the Site offers paid products, courses, subscriptions, or services, the following terms apply:

6.1 Payment Processing
Payments may be processed via third-party payment processors (e.g. Stripe, PayPal). You agree to comply with their terms and pay all fees associated.

6.2 Fees, Billing, Refunds
You will pay the amounts indicated at checkout or subscription sign-up. We may change pricing or billing methods upon notice. Refund eligibility or policies (if any) will be described in a separate Refund Policy or section on the Site.

6.3 Suspension for Nonpayment
If your payment fails or is revoked, we may suspend or terminate access to paid features until payment is resolved.

7. Disclaimers & Warranties

7.1 “As Is” / “As Available”
The Site is provided “as is” and “as available,” without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and course of performance.

7.2 No Guarantee of Results
While IBCC may offer educational content, guidance, or tools, we do not guarantee any particular results, earnings, or success from their use.

7.3 No Professional Advice
Content on the Site (articles, tutorials, etc.) is for informational purposes only and does not constitute legal, financial, or professional advice. You should consult appropriate professionals before acting on any information.

8. Limitation of Liability & Indemnification

8.1 Limitation of Liability
To the maximum extent permitted by law, in no event shall IBCC, its officers, directors, employees, agents or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits or business interruption) arising from or related to your access, use, or inability to use the Site, even if IBCC has been advised of the possibility of such damages. In no event shall our aggregate liability exceed the greater of (i) the total amount you paid in the preceding 6 months (if any) or (ii) USD $100.

8.2 Indemnification
You agree to indemnify, defend and hold harmless IBCC and its officers, directors, employees, agents, affiliates, successors and assigns from and against all claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your breach of these Terms
  • Your violation of any law or rights of a third party
  • Your use of the Site or any user content

9. External Links & Third-Party Sites

The Site may contain links to third-party websites or resources. We do not endorse and are not responsible for the availability, accuracy, content, practices, or policies of those sites. Your use of third-party sites is at your own risk, and you should review their terms and privacy policies.

10. Modifications, Interruptions & Changes

We may modify, suspend, or discontinue the Site (or any part thereof) at any time, for any reason, without prior notice or liability. We may also impose limits on services, restrict hours of availability, or refuse service to anyone. We are not liable to you or third parties for modification, suspension, or discontinuance.

11. Governing Law, Jurisdiction & Dispute Resolution

11.1 Governing Law
These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to conflict-of-law principles.

11.2 Venue & Jurisdiction
You agree that any legal action or proceeding arising under these Terms must be brought exclusively in the courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of such courts.

11.3 Statute of Limitations
You agree that any claim or cause of action arising out of or related to the Site or these Terms must be filed within one (1) year after the cause of action arises, or else be barred.

12. Severability & Waiver

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remainder will remain in full force. No waiver by IBCC of any breach will constitute a waiver of any other or subsequent breach.

13. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.

15. Entire Agreement
